紫光集團有限公司通過全資子公司北京紫光資本管理有限公司（“北京紫光資本”）之全資子公司紫光科技戰略投資有限公司（“紫光科技戰略”）持有上市法團紫光科技（控股）有限公司（00365.HK）（“紫光控股”）986,829,420股股份，及紫光控股發行之可轉換為370,000,000股股份的可轉股債券。如紫光控股于2019年9月17日和2019年9月26日所做公告，北京紫光資本、紫光科技戰略与Sino Xin Ding Limited（中文名：芯鼎有限公司）簽署股權購買協議並已完成交割，紫光科技戰略將其持有的67.82%紫光控股股權轉讓給芯鼎有限公司，可轉還債券不涉及此次轉讓。芯鼎有限公司系上海青芯企業管理諮詢有限公司（“上海青芯”）全資子公司，中青芯鑫(蘇州工業園區)資產管理有限責任公司（“中青芯鑫”）持有上海青芯50.1%股權，紫光集團有限公司全資子公司中青信投有限公司持有中青芯鑫49%股權。根據《證券及期貨條例》第XV部披露權益相關條款，本次股權轉讓前後，紫光集團對紫光控股的持有權益數量及比例沒有變化，僅受控法團主體及持股結構發生變化
