Banco Bilbao Vizcaya Argentaria, S.A. ("BBVA") and CITIC Group Corporation are parties to an agreement to which section 317 applies. Therefore, BBVA is taken to be interested in the A shares of the listed corporation in which CITIC Group Corporation is interested ("A Shares"). There is also a rights of first offer over the A Shares from CITIC Group Corporation to BBVA under the s317 agreement. The total number of issued A shares increased, resulting in a "dilution".
