On 1 December 2017, Zhang Fangliang (being a party to a section 317 agreement) transferred 50 million shares of Genscript Corporation to the 2017 FANG LIANG ZHANG TRUST ("ZHANG's TRUST"). Zhang Fangliang, as the founder of the ZHANG's TRUST, is interested in the 106,882,591 Shares of Genscript Biotech Corporation that the ZHANG's TRUST is indirectly interested in. The 4,858,300 Shares represents Shares that Wang Ye, as the founder of the 2017 WANG YE FAMILY TRUST is deemed to be interested in.
